App Name: Guide The Business ("the Service")
 

1. Acceptance of Terms
By creating an account, accessing, or using the "Guide The Business" service, provided by Beat Patrol Inc., you agree to be bound by these Terms and Conditions ("Terms"). If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree, you must not use the Service.
 

1.1 Scope of Agreement:
These Terms apply exclusively to the "Guide The Business" software application, including the website guidethebusiness.com, the platform hosted at app.guidethebusiness.com, and any related digital tools (collectively, the "Service").

1.2 Independent Services:
Beat Patrol Inc. may offer independent professional services, including but not limited to business coaching and consulting. Such services are outside the scope of these Terms and are governed by separate, individual service agreements. Use of the App does not constitute a coaching engagement, and coaching engagements do not automatically grant rights to the App beyond what is stated in the specific coaching contract.

 

2. Service Description & License 

2.1 Description:
Guide The Business provides a platform for small businesses to plan, track, and measure sales and revenue goals. Our services are intended for use by business entities.
 

2.2 License Grant:
We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your internal business purposes. 
 

2.3 Free Tier:
We may offer a free version of the Service. We reserve the right to limit features, storage, or throughput and to modify these limitations at any time without notice.
 

2.4 Paid Tier:
Paid subscriptions allow access to enhanced features as described on our pricing page.
 

3. User Accounts & Third-Party Auth
To access certain features, you must register for an account. You may register using an email and password or third-party credentials (e.g., Google OAuth). You are responsible for maintaining the confidentiality of your login credentials. If you use Google OAuth, your data usage is also subject to the Google API Disclosure found in our Privacy Policy.
 

4. User Content and Data 

4.1 Ownership: You retain all rights and ownership of the data and information you upload to the Service ("User Content"). 
 

4.2 License to Host: You grant us a worldwide, royalty-free license to host, copy, transmit, and display your User Content solely as necessary to provide the Service to you. 
 

4.3 Data Export: You may export your User Content (e.g., CSV) while your account is active. It is your responsibility to perform these exports regularly.
 

5. Cancellation and Data Deletion 

5.1 Cancellation: You may cancel at any time via the dashboard. Cancellation is effective at the end of your current billing cycle. 
 

5.2 30-Day Retention: Upon cancellation, your User Content will be retained for thirty (30) days. 
 

5.3 Permanent Deletion: After 30 days, your User Content will be permanently deleted ("Hard Delete") and is not recoverable.
 

6. Fees and Payment (Paid Tier) 
6.1 Billing: Fees are billed in advance via our third-party processors (e.g., Stripe). 
 

6.2 No Refunds: Payments are non-refundable. There are no credits for partial months or unused time. 
 

6.3 Changes: Upgrades are prorated immediately; downgrades apply at the start of the next billing cycle.
 

7. No Financial Advice & Disclaimers 

7.1 No Guarantee: Guide The Business is a tracking tool. We do not provide financial, legal, or professional advice. We do not guarantee specific financial results or sales growth. 
 

7.2 Accuracy: Revenue projections are based on user-inputted data. We are not responsible for human error, data entry mistakes, or technical errors that may affect calculations. 
 

7.3 "As Is": THE SERVICE IS PROVIDED "AS IS." WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
 

8. Limitation of Liability 

8.1 Exclusion: IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. 
 

8.2 Liability Cap: For Paid Tiers, our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim. For the Free Tier, our total liability shall not exceed Fifty Canadian Dollars ($50 CAD).
 

9. Indemnification: You agree to indemnify and hold Beat Patrol Inc. harmless from any claims, damages, and expenses (including legal fees) arising out of your use of the Service or violation of these Terms.
 

10. Governing Law & Dispute Resolution 

10.1 Law: These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada. 
 

10.2 Arbitration: Any dispute shall be resolved by binding arbitration in Nanaimo, British Columbia. 
 

10.3 Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in a class action.
